Terms of Service

1The agreement

These Terms of Service are a binding agreement between you and M Labs Technologies LLC ("Millionaire Mentorship", "we", "us"), covering the Millionaire Mentorship iOS app, this website, and everything in them.

By creating an account, subscribing, or using any part of the service, you accept these terms and the Privacy Policy. If you do not accept them, do not use Millionaire Mentorship.

2Eligibility and invite-only access

• You must be at least 18 years old and able to enter a binding contract.
• Millionaire Mentorship is invite only. Applications are reviewed by a person, and we decide who joins.
• An invite code identifies who vouched for you. It does not guarantee entry. A valid code with a declined application means no account.
• We may decline an application without giving a reason, and we may close an account obtained by misrepresentation.
• You may not use the service if you are barred from doing so under the law that applies to you, including US sanctions and export controls.

3Your account

• Give us accurate information and keep it current.
• Your account is personal. Do not share your login. One membership is for one person.
• One active session at a time. Signing in on a new device signs you out of the previous one. This is deliberate and is not a fault.
• You are responsible for what happens under your account. Tell us immediately at support@themillionairementorship.com if you think it has been compromised.
• You can delete your account from inside the app at any time. Deletion is permanent.

4Membership and Pro

There are two levels of access.

• Free membership gives you the feed, Reels, chats, free courses and free live sessions.
• Pro membership adds Pro courses, Pro live sessions, Pro chat access, offline downloads and member pricing in the Marketplace.

Access is decided per item. Whether something is unlocked is verified on our servers, and attempting to bypass that check is a breach of these terms.

We add, change and retire content over time. We do not promise that any specific course, lesson, live session or mentor will remain available, and a subscription is access to the service as it exists from time to time, not to a fixed catalogue.

5Subscriptions and billing

Pro is a subscription. The price, billing period and currency shown to you at the moment of purchase are the terms of your purchase. Apple shows the price for your App Store storefront in your local currency.

• Auto-renewal. Subscriptions renew automatically at the end of each period until you cancel.
• When you are charged. Payment is taken at confirmation of purchase and again at each renewal. Apple charges your Apple Account within 24 hours before the current period ends.
• Cancelling. Cancel any time. Cancel at least 24 hours before a renewal to avoid being charged for it. You keep Pro access until the end of the period you already paid for.
• Where to cancel. Apple subscriptions: your Apple subscription settings. Card subscriptions taken on the web: in the app, or contact us.
• No free trial. Millionaire Mentorship does not offer a trial period.
• Price changes. If we change the price of an existing subscription, we will tell you in advance and the change takes effect at the next renewal. Apple will ask you to consent where it requires that.
• Failed payment. If a payment fails we may retry it and may suspend Pro access until it succeeds.

6Founding Member terms

Founding Member is a limited offer with a hard cap on the number of members who can take it.

• Once the cap is reached, the offer closes automatically and new members subscribe at the standard price.
• You keep the Founding Member monthly rate for as long as your subscription stays continuously active.
• If you cancel, you lose it. Resubscribing later means paying whatever the price is at that time, even if the Founding cap has closed.
• Founding Member is an advantage on the monthly plan. The annual price is the same either way.
• The Founding Member benefit is tied to your account and cannot be sold, gifted or transferred.

7Refunds

Purchases made through the App Store are refunded by Apple, not by us. Apple's refund policy applies, and requests go to Apple. We cannot issue, force or block an Apple refund.

For card payments taken directly by us, subscription fees are non-refundable except where the law requires otherwise, or where we choose to make an exception. If you are in a jurisdiction with a statutory cooling-off or withdrawal right, that right applies and nothing here removes it.

If we terminate your account for breaching these terms, you are not entitled to a refund of the remaining period.

8Invites and referral rewards

• Every member gets a personal invite link and code. Sharing it is encouraged.
• Rewards are earned only when a referred member makes a real payment, not on signup alone. Rewards are capped, and the current ladder and cap are shown on the Invite screen in the app.
• Each referred member can be credited to one referrer, once, ever.
• You cannot refer yourself, and you cannot use a second account to refer your first.
• We may withhold or reverse a reward connected to fraud, chargebacks, refunds, fake accounts, spam or paid advertising that misrepresents Millionaire Mentorship.
• Rewards have no cash value and cannot be sold or transferred.
• We may change or end the referral programme with notice. Rewards already earned are honoured.

9The Marketplace

The Marketplace lists products, services and one-to-one sessions, some sold by us and some sold by third-party creators and vendors.

• Show up to sessions you book, and follow the seller's rescheduling and cancellation policy.
• Disputes are between you and the seller in the first instance. Tell us, and we will try to help and will act against sellers who behave badly.
• Member pricing, where offered, applies while your Pro membership is active.

10Your content

What you post stays yours. You keep ownership of your posts, comments, Reels, Stories, messages and anything else you upload.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for formatting and display, and distribute your content, for the purpose of operating and promoting Millionaire Mentorship. The licence ends when you delete the content, except for copies already shared with other members, copies in backups until they age out, and where we must keep it by law.

You promise that you own or have the rights to what you post, and that posting it does not break the law or anyone else's rights.

We are not obliged to store your content, and you should keep your own copy of anything you care about.

11Our content

Courses, lessons, videos, live recordings, written material, artwork, the Millionaire Mentorship name and logo, and the software itself belong to us or to our licensors. You get a personal, limited, non-transferable, revocable licence to use them inside the app for your own learning.

You may not, and may not help anyone else to:

• copy, record, screen-capture, download outside the app's own offline feature, republish, resell or share our content;
• use it to build a competing product or to train a machine learning model;
• remove or circumvent any digital rights management, watermark or access control;
• reverse engineer, decompile or tamper with the app, or access the service by any means other than the app and this website.

Offline downloads are for your personal use, are time-limited, and expire when your entitlement to them ends.

12Acceptable use

Millionaire Mentorship is a community. Do not:

• harass, threaten, bully, stalk or abuse anyone, or incite others to;
• post hateful content targeting people for who they are;
• post sexual content, violence, or anything illegal;
• spam members, mass-message, or pitch unrelated business opportunities, network marketing schemes or investment offers;
• run a scam, phish, or solicit money or crypto from members;
• impersonate anyone, including Roy, our staff or other members;
• post anyone's private information without their permission;
• share, sell or resell your account or its content;
• scrape, crawl, or use bots or automation against the service;
• attack the service or its infrastructure, probe for vulnerabilities without permission, or interfere with anyone else's use of it.

If you find a security vulnerability, report it to support@themillionairementorship.com instead of exploiting it. We will work with you in good faith.

13Moderation and termination

• We may remove content, restrict features, suspend an account or terminate membership if these terms are broken, or where we reasonably believe it is necessary to protect members or the service.
• Serious breaches such as harassment, fraud, sharing an account, or piracy of our content can mean immediate permanent termination without warning.
• Where circumstances allow, we will tell you what happened and give you a way to respond. Email us and a person will look at it.
• You can stop at any time by cancelling and deleting your account.
• Sections that by their nature should survive termination do survive it, including content licences already granted, disclaimers, limitation of liability, indemnity and dispute resolution.

14AI features

The AI Lesson Companion generates summaries, takeaways and answers from lesson material. It can be wrong. Treat what it produces as a study aid, check it against the lesson itself, and do not rely on it for any decision that matters. We are not liable for anything you do on the basis of an AI-generated response.

15Live sessions

• Live sessions may be recorded and made available as replays. By joining, speaking, appearing on camera or writing in the chat, you agree to that recording and to its distribution inside Millionaire Mentorship.
• Do not record, stream or redistribute a live session yourself.
• Scheduled sessions can move or be cancelled. We do our best to give notice.
• Hosts may mute, remove or ban a participant from a session.

16No advice and no earnings promise

17Third-party services

We rely on third parties, including Apple, Stripe, Supabase, Mux and others listed in the Privacy Policy. Their own terms apply to what they do, and we are not responsible for their acts or outages. Links to outside sites are not endorsements.

Apple

These terms are between you and us, not Apple. Apple is not responsible for the app or its content, and has no obligation to provide support or handle any claim about it. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. You confirm you are not in a country subject to a US Government embargo or designated as terrorist-supporting, and that you are not on any US Government prohibited-party list.

18Disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the service will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that any content is accurate or complete.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, this section applies to you only to the extent permitted, and it does not affect statutory consumer rights you cannot waive.

19Limitation of liability

To the fullest extent permitted by law, neither we nor our officers, employees or suppliers are liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business opportunity, lost data or loss of goodwill, whether or not we were told such damages were possible.

Our total liability for all claims relating to the service is limited to the greater of the amount you paid us in the twelve months before the claim arose, or one hundred US dollars.

Nothing here limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law. Some jurisdictions do not allow these limits, so they may not apply to you in full.

20Indemnity

You agree to indemnify and hold harmless M Labs Technologies LLC and its officers, employees and agents from any claim, damage, loss or expense, including reasonable legal fees, arising out of your content, your use of the service, or your breach of these terms or of the law.

21Governing law and disputes

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you and we consent to the personal jurisdiction of those courts.

Talk to us first. Before filing anything, email support@themillionairementorship.com with the problem and what you want. Most things get resolved there, and we will engage in good faith for at least 30 days.

If you are a consumer resident in the European Union or the United Kingdom, nothing in this section removes your right to bring proceedings in the courts of your country of residence, or to rely on the mandatory consumer protections of your local law.

22Changes to these terms

We may update these terms as the product changes. The effective date at the top tells you which version you are reading. For a material change we will give notice in the app or by email before it takes effect. Continuing to use Millionaire Mentorship after that means you accept the new terms; if you do not, cancel and delete your account.

23General

• Entire agreement. These terms and the Privacy Policy are the whole agreement between you and us about the service.
• Severability. If a provision is unenforceable, the rest stays in force.
• No waiver. Not enforcing something once does not waive it.
• Assignment. You may not assign these terms. We may assign them in connection with a merger, acquisition or sale of assets.
• Force majeure. Neither party is liable for a failure caused by something genuinely outside its reasonable control.
• Language. These terms are written in English. A translation is provided for convenience; the English version governs.
